BENEFITS TERMS & CONDITIONS

1. Master Benefits Terms & Conditions. These Terms & Conditions (“Terms”) govern participation in the client benefits programs offered by LIME Yachts LLC (“LIME,” “we,” “our,” or “us”), including LIME STANDARD, LIME+ PREMIER, and LIME+ PLATINUM (collectively, the “Programs”). By enrolling or participating, you agree to the following:

2. Definitions. For clarity, the following terms apply:
– “Program(s)”: The benefits framework offered by LIME, including STANDARD, PREMIER, and PLATINUM tiers.
– “Client”: An individual or entity enrolled in or eligible for the Programs.
– “Retail Charter”: A yacht charter booked directly with LIME as broker, excluding net rate bookings.
– “Full Commission”: The commission received by LIME at industry-standard rates, paid in full without reduction.
– “New Build Project”: Any yacht under construction or to be constructed, contracted with LIME as owner’s representative or broker.
– “Contribution”; A return, refund, or monetary credit applied after an eligible transaction (such as a qualifying yacht sale, purchase, or charter) has been completed with LIME Yachts LLC as the representing brokerage. Contributions may be applied as a direct payment, credit toward future services, or another method solely determined by LIME.
– “Benefits”: The complimentary services, rewards, and value-added offerings provided under the LIME, LIME+ Premier, and LIME+ Platinum programs. Benefits may include but are not limited to, management services, memberships, concierge access, and event experiences. Benefits are privileges, not entitlements, and are provided only after full commission is received by LIME Yachts LLC.
– “Charter”: The temporary hire or use of a yacht for leisure or business purposes, arranged through LIME Yachts LLC. For the purposes of these Terms, “Charter” refers exclusively to retail yacht charters where LIME Yachts LLC acts as the arranging brokerage.

3. General Rights and Control. LIME reserves the full right, control, and discretion to modify, suspend, or terminate the Programs, their benefits, or these Terms at any time, without prior notice.
Participation in the Programs is not a legal entitlement and is at the sole discretion of LIME.

4. Cancellation and Modification. Cancel Anytime: Clients may cancel enrollment at any time by written notice.
Change Anytime: LIME may change, amend, or adjust Program benefits, eligibility, or requirements at any time.

5. Eligibility. Participation in the LIME Programs and eligibility for associated benefits are subject to specific criteria. Clients must meet the thresholds, conditions, and requirements outlined for each tier. All benefits are contingent upon full completion of qualifying transactions and adherence to the terms established by LIME. Certain tiers may also require demonstration of membership, residency, or status with entities recognized by LIME. Additional eligibility terms may be detailed in a separate agreement between the Client and LIME.
– To qualify for Program benefits, the Client must meet the transaction thresholds specific to each tier.
– Only transactions where LIME receives a full commission qualify.

– To qualify for certain tiers of the Programs, participants may be required to demonstrate that they are members, residents, or holders of certain entities identified by LIME

6. Program Benefits (Summary). Benefits vary by tier (STANDARD, PREMIER, PLATINUM) and are detailed in later sections. Benefits are subject to written confirmation by LIME and may require a separate agreement prior to activation.

7. Conditions for Benefits. Program benefits are subject to the terms of a separate written agreement and are only available once eligibility is confirmed, the transaction is complete, and full commission has been received. Benefits are non-transferable, hold no cash value, and may only be combined with other offers if expressly permitted by LIME.

– Program benefits are non-transferable, have no cash value, and may not be combined with other offers unless expressly permitted by LIME.
– Benefits commence only after the transaction is finalized, commission is paid in full, and LIME confirms eligibility in writing.

8. Tier-Specific Benefits. The Programs are divided into distinct tiers, each with its own set of benefits and qualifying criteria. Benefits related to charter, sale, and purchase, and new yacht construction are treated as separate categories and cannot be combined.
• Charter transactions only qualify for the applicable percentage contribution as outlined in the tier structure, and do not extend to any other benefits.
• Sales and Purchases qualify solely for percentage contributions and benefits tied to brokerage transactions.
• New Build Projects qualify solely for project management and no other benefits, except those offered at the discretion of LIME.

9. Contributions Across Tiers. Contributions or credit earned under one Program tier cannot be combined or stacked into another tier. Each tier functions independently, and only the contributions applicable to the client’s qualifying tier at the time of the transaction will apply.

10. Third-Party Partnerships, Qualifications & Disclaimers. LIME may reference or, from time to time, establish arrangements with third-party providers in connection with Program benefits. Examples include, but are not limited to, Starlink, Sea Tow, GOST Satellite Nav Tracking, Wheels Up, CLEAR Plus, and LIME Unlocked experiences.

No Implied Partnership:
The inclusion of any third-party product, service, or provider in Program materials is for descriptive purposes only and does not constitute or imply a formal partnership, sponsorship, endorsement, or ongoing contractual agreement with LIME, unless expressly stated in writing.

Third-Party Terms & Availability:
Benefits involving third-party providers remain subject to that provider’s own terms, conditions, availability, and discretion. LIME makes no guarantee as to the continuity, availability, or quality of any third-party benefit. Participation may require the Client to enter into a direct contractual relationship with the provider, and all use of third-party services is at the Client’s sole risk.

Substitution & Withdrawal:
LIME reserves the right to substitute, modify, or withdraw any referenced third-party benefit at any time, without notice and without financial obligation to the Client.

Qualifications for Certain Tiers:
To qualify for select Program tiers, participants may be required to demonstrate membership, residency, or holder status in one or more of the following categories:
• Recognized country clubs or private membership clubs
• Elite residential communities or branded residences
• Premium credit card programs
• Immigration or residency-by-investment programs (including “Gold Card” or similar initiatives)
• Other equivalent organizations or qualifying entities as determined by LIME

Third-Party Disclaimer:
Any reference to clubs, residences, properties, financial institutions, or government residency programs is solely for qualification purposes. LIME has no ownership interest, partnership, sponsorship, endorsement, or other affiliation with any such entities unless explicitly documented in writing.
• Any mention of a third party is solely for qualification or descriptive purposes.
• The existence of a referenced benefit does not create a partnership or contractual relationship with the entity.
• All benefits are offered and administered exclusively by LIME under the Program terms.

11. Exclusions & Limitations. Discounts do not apply to taxes, VAT, crew gratuities, delivery fees, or APA (Advanced Provisioning Allowance). Benefits do not apply retroactively to past transactions. New build exclusions apply as stated in each tier.

12. Non-Transferability. Program benefits are personal to the Client and may not be assigned, transferred, or inherited unless expressly agreed by LIME Yacht Brokerage in writing.

13. Confidentiality & Use of Data. LIME may collect and use Client information to administer Programs and related benefits. Client data will be processed in accordance with applicable privacy laws and may be shared with third-party partners only as necessary to provide benefits.

14. Conflicts & Priority. In the event of conflict between marketing materials and these Terms, these Terms shall prevail.

15. Force Majeure. LIME shall not be liable for failure to provide Program benefits due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, government restrictions, natural disasters, pandemics, or labor disputes.

16. Indemnification. Clients agree to indemnify and hold harmless LIME from any claims, liabilities, or damages arising out of their misuse of Program benefits or reliance on third-party services.

17. Severability. If any provision of these Terms is found invalid or unenforceable, the remainder shall remain valid and enforceable.

18. Entire Agreement. These Terms, together with any written agreements specific to Program benefits, constitute the entire agreement between LIME and the Client regarding participation in the Programs.

19. Governing Law. These Terms shall be governed by and construed under the laws of the State of Florida, USA. Any disputes shall be subject to the exclusive jurisdiction of the courts of Broward County, Florida.

20. Tiers. The LIME Standard, LIME+ Premier, and LIME+ Platinum tiers are trademarked programs owned by LIME. All references to these tiers must be accurate and respectful; they may not be used in a manner that disparages or reflects negatively on LIME, its affiliates, partners, or clients. The Programs are independent and are not intended to mimic, replicate, or represent any other program, membership, or service offered by third parties.

LIME STANDARD
Experience
30 years’ expertise in the sale, charter, marketing, construction, and management of the finest yachts.
Program Contributions
• Charter Contribution – 5% rebate on eligible yacht charters. Clients are required to have booked a previous charter to qualify.
• Brokerage Contribution – Not applicable; see Premium and Platinum tiers.
Benefits
• Starlink hardware + 3 months of Global Priority service
• GOST vessel tracking subscription – 1 year
• Sea Tow membership – 1 year
Owner Services
• Yacht Support – 2 months of yacht management on vessels >299GRT
• Yacht Advisory Services – 6 months post-purchase advisory and auditing
• Charter Management – Performance-driven rates when a purchased vessel is added to the LIME Charter Yacht Fleet
Eligibility
• Charter Contribution – Single yacht charter of 8+ days at minimum base rate USD 250k/week
• Brokerage Benefits – Purchase or sale of vessel over USD 1M
Notes
• Charter, brokerage, and owner services are separate categories; benefits cannot be combined across categories.
• Benefits are issued only after the full commission is received.

LIME+ PREMIER
Includes all LIME STANDARD benefits and owner services.
Enhanced Contributions
• Charter Contribution – 5% rebate on eligible yacht charters. No prior charter required.
• Brokerage Contribution – 1% rebate on eligible repeat purchases or sales (excluding new build projects).
Enhanced Benefits
• Aviation membership – Wheels Up Connect or XO annual private aviation membership
Enhanced Owner Services
• Yacht Support – 4 months of yacht management on vessels >299GRT
• Yacht Advisory Services – 12 months post-purchase advisory and auditing
• Build Management –
– 6 months for new builds USD 25M–40M
– 9 months for new builds >USD 40M
Eligibility
• Charter Contribution – Single yacht charter of 8+ days, booked with LIME, minimum base rate USD 350k/week
• Brokerage Contribution & Benefits – Repeat buy/sell or LIME+ Platinum referral on vessels >USD 5M
• Build Management – Purchase of new build vessel >USD 25M or USD 40M
Notes
• Charter, brokerage, and build benefits are distinct categories.
• Rebates and benefits from one category cannot be combined with another.

LIME+ PLATINUM
Includes all LIME STANDARD and LIME+ PREMIER owner services.
Enhanced Contributions
• Charter Contribution – 5% rebate on eligible yacht charters. No prior charter required.
• Brokerage Contribution – 1% rebate on eligible yacht purchases or sales (excluding new build projects). No prior purchase or sale required.

– Access – VIP access to sold-out events and concerts
– Epicure Experiences – Private onboard dining or chef-led classes
– Gifting Services – Personalized shopping and gifting assistance
– Shopping – Fashion network access to revamp wardrobes, source rare items, or surprise loved ones
Owner Services (provided automatically)
• Yacht Advisory Services – Advisory and audit services for the life of ownership
• Yacht Support – 6 months yacht management on vessels >299GRT
• Build Management –
– 9 months on new builds USD 20M–30M
– 12 months on new builds >USD 30M
Eligibility
• Charter Contribution – Single yacht charter of 7+ days, booked with LIME, minimum base rate USD 275k/week
• Brokerage Contribution & Benefits – Purchase/sale of vessel >USD 5M
• Build Management – Purchase of new build >USD 20M or USD 30M
• Residency/Membership Requirement – Must be a resident, member, or holder of approved affiliations
Notes
• Clients may only select one benefits option (Standard & Premier benefits OR LIME Unlocked) per 12-month cycle.
• Charter, brokerage, and build benefits cannot be combined across categories or tiers.
• Owner Services are provided regardless of benefits selection.
• Benefits are issued only after the full commission is received.

These Terms and Conditions are intended to provide clear and transparent guidance regarding the LIME Programs. In the event of any ambiguity or uncertainty, LIME reserves the right, at its sole discretion, to modify, suspend, or cancel any aspect of the Programs or benefits without prior notice, liability, or prejudice.
